Terms and Conditions

To succeed in our objectives as a Membership Organisation there are a number of principles laid down for all to follow to ensure fair and transparent governance.

Members Responsibilities:

  • To contribute to the funding of the promotional campaign
  • To respect and operate within the spirit and letter of the company's eligibility criteria for NI food and drink.

Member Representation

  • Members shall be entitled to attend an Annual General Meeting of the company, where a report on the progress of the company and audited accounts for the previous 12 months shall be presented.
  • Members shall elect 2 directors to the management board from the body of General members in accordance with the memorandum and articles of the company.

Board Responsibilities

  • The company and campaign shall be governed by a management Board selected from the members
  • The Board shall consist of 12 members: - One from each of the 6 founding members, 2 elected at an Annual General Meeting of the general members, 4 co opted by the Board. Directors shall run the company in accordance with the memorandum and articles
  • Directors shall ensure equity of access to all businesses provided eligibility criteria and payment of fees are complied with.
  • Directors shall establish a mechanism for assessing the suitability of new applicants, and resolving disputes around the integrity of members
  • Directors shall measure the impact and effectiveness of the campaign and adjust accordingly

Maintaining the integrity of the campaign

  • The overarching principle of policing shall be that of self governance.
  • Any member shall, on payment of a fee of £100 be entitled to question whether any other member's overall business approach or individual product, meets the eligibility criteria.
  • Following the receipt of such a query, the Directors shall arrange a panel to investigate, hear evidence from both parties and decide on whether the query be upheld or overturned.
  • The Directors shall use any such sanction as they shall deem appropriate to ensure that any member, who is deemed to have abused the integrity of the campaign, shall be prevented from using or benefiting from the campaign.
